ā ļø Important update on the issue concerning the purchase of ESPP shares on July 31. ā ļø
First, the Company told Fetico that they would buy the pending shares. Now they say that they canāt legally do it. And no compensation for the harm they caused.
Yesterday, Fetico held a new meeting with the Company to address, among other issues, the impact on the last purchase of ESPP shares.
As you know, in Fetico we detected and escalated this incident, and during these weeks we have constantly followed up, insisting through meetings, calls and communications to find out what had happened and demand a solution for the people affected.
On August 4, the Company informed us that the solution would be to perform an additional purchase of the missing shares at the same price at which they should have been initially acquired, so that the people affected would not suffer harm from the error.
ā But yesterday, the answer was completely different.
It turns out that the solution that was initially proposed was not legally viable under the regulations governing the ESPP.
Our bewilderment was enormous.
ā How is it possible that they told us a solution that did not comply with the applicable regulations?
ā How is it possible that the solution, which comes late and in a wrong way, does not include any compensation for the damage caused?
The Company now explains that the regulations applicable to ESPP prevent a retroactive purchase to correct the error. So what will happen to the money that was not used in the purchase on July 31?
š If the person continues to participate in the ESPP, that amount will be carried over to the next purchase period.
š If you abandon the plan or leave the Company, the pending amount will be refunded.
ā ļø This means that affected individuals will not receive the shares they should have purchased on July 31 at the then-current price.
And for Fetico this is not acceptable.
Yesterday, during the meeting, we clearly expressed our disagreement with the proposed solution and requested that the Company seeks some formula to compensate for the damage caused to those affected by an error that is not attributable to them.
For the time being, the Company maintains that it does not consider a compensation within the ESPP.
And Fetico has made equally clear that we do not deem this issue closed and that we will look for other ways to advocate for the people affected to be compensated.
š© The Company has started sending an individual communication in the next few days explaining the incident, the total amount contributed, how much was actually used for the July purchase and what's the pending amount for the following period.
We will continue to follow up on this matter, as we have done since the beginning, and we will keep you informed of any new developments.
