🚨 A regulatory filing can be used as camouflage
The U.S. Securities and Exchange Commission has charged 38 entities, alleging that they submitted false information in Forms ADV to appear legitimate to American investors.
According to the SEC, the filings included:
• business addresses where the firms had no physical presence
• disconnected phone numbers or numbers belonging to unrelated companies
• nearly identical ownership structures and financial data
• claims involving audit firms that could not be found in public registries
Some of the entities were also promoted through websites displaying fake certificates claiming that they were registered with the SEC.
The charges are allegations, but the case demonstrates an important security lesson:
Finding a company in a regulatory database is only the beginning of verification.
The legal name, registration status, contact details, permissions and people behind the business must all match.
A professional-looking filing can create credibility.
It cannot replace independent verification.
